Terms of Use

Last updated: October 20, 2026

1. Acceptance of Terms

These Terms govern the Proxonyx Intelligence Platform and associated applications, reports, chat, image tools, and integrations (the "Service"), operated by Proxonyx Corp ("Proxonyx", "we", "us"), based in Washington State, United States. By accepting these Terms or using the Service after being presented with them, you enter into an agreement with Proxonyx Corp. If you do not agree, do not use the Service. Our Privacy Policy explains our information practices; accepting these Terms is not consent to data processing that requires separate consent under applicable law.

If you act for a business or other organization, you represent that you have authority to bind it, and "you" includes that organization and its authorized users. A separately signed agreement controls to the extent it expressly conflicts with these Terms. Sections 15-18 contain important warranty, liability, indemnification, and dispute provisions. They do not remove rights that applicable law does not permit you to waive.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Description of Service

Proxonyx may route your queries through third-party large language models, artificial intelligence systems, and research services as part of the requested workflow to support analysis, retrieval, or image generation. The Service may compare, synthesize, and refine responses before returning them to you as reports, chat responses, or generated images. Proxonyx does not itself create the underlying AI models and is not responsible for their training data, biases, or limitations.

Service evolution. We may add, replace, or remove models and providers; change routing, orchestration, or safety controls; and introduce, modify, or retire features. A subscription does not reserve a particular model or provider unless a separate signed agreement says so. Material changes that reduce paid-plan functionality will receive reasonable advance notice where practicable, consistent with Section 24 and applicable law. Urgent legal, security, or provider-availability changes may be made sooner, with notice as practicable. These rights do not override express contractual commitments or mandatory cancellation and refund rights.

Beta and experimental features. Features identified as beta, preview, or experimental may change, be interrupted, or be withdrawn and may have additional limitations. They carry no separate uptime or support guarantee unless expressly agreed in writing. The disclaimers and limitations in Sections 15 and 16 apply only to the extent permitted by law; labeling a feature experimental does not remove mandatory rights.

4. Guest Access, Free Trials, and Paid Plans

The Service may offer limited guest access without an account, a limited free trial for registered accounts, and paid subscription plans with expanded usage limits and features. Usage limits, available models, and available features may vary by plan and may change over time with notice as described in Section 24.

The no-sign-in preview includes one turn total per preview cookie, usable for research or image generation with available models. The essential preview cookie expires after 7 days. A turn is used when execution starts, including runs that are stopped or unsuccessful; invalid requests do not use a turn. Additional IP-based rate limits apply. Preview results are temporary, are not saved to an account, and expire with the preview. Sign up to continue after using the preview.

5. No Professional Advice

Outputs labeled as "Strategic Analysis," "Business Plan," "Executive Summary," "Deep Reasoning," or similar deliverables are AI-generated content for informational purposes only. They do not constitute legal, financial, medical, tax, engineering, or other professional advice. You are solely responsible for independently verifying accuracy before relying on or acting upon any output.

Outputs may contain fabricated facts, citations, calculations, images, or conclusions, may omit material information, and may be outdated or biased. Agreement among models, confidence labels, sources, computation, and professional-looking formatting are not guarantees of correctness or independent verification. A report is not a licensed professional's opinion, engineering certification, investment recommendation, or promise of an outcome. Obtain qualified human review appropriate to the risks before publication, implementation, or reliance. Do not use the Service as the sole basis for decisions affecting a person's legal rights, employment, credit, housing, insurance, education, health, or safety, or for emergency response or safety-critical control.

6. Acceptable Use

You agree not to use the Service to:

7. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at info@proxonyx.org of any unauthorized use or suspected security breach.

You are responsible for managing authorized users and connected SDKs, tokens, devices, and integrations that you enable, and for their use within the authority you grant. Revoke access that is no longer needed. This responsibility does not excuse our obligations for security incidents caused by our own conduct.

8. User Content and License

You retain ownership of the queries, instructions, files, and images you submit ("User Content"). By submitting User Content, you grant Proxonyx a limited, non-exclusive, worldwide license to use, reproduce, transmit, and process it solely to operate, maintain, and provide the Service to you, including transmitting it to third-party AI providers as described in our Privacy Policy. You represent that you have all rights necessary to submit your User Content and that it does not infringe any third party's rights.

Your ownership does not transfer ownership of third-party materials or create intellectual-property rights that the law does not recognize. You may download supported reports and images and manage saved records through the available account controls. Deleting a record, moving it to the waste bin, and deleting an account have different effects; the retention and backup exceptions in Section 10 of the Privacy Policy apply. No immediate erasure of every copy or universal account-export facility is promised.

You are responsible for obtaining required notices, consents, licenses, confidentiality permissions, and other lawful authority for processing User Content, including sending it to the providers used in your workflow. Do not submit passwords, private keys, payment-card data, regulated health records, or other highly sensitive data unless a separate written agreement expressly authorizes the use and appropriate safeguards are in place. The Service is not offered as a HIPAA-compliant service under these Terms. A warning against submitting data does not waive privacy rights or our applicable legal duties.

9. AI-Generated Output

Subject to the rights of underlying third-party model providers and applicable law, we do not claim ownership of the output generated for you. Because AI-generated output may not be eligible for copyright protection in all jurisdictions, and because similar output may be generated for other users from similar prompts, we do not guarantee that any output is unique, non-infringing, or exclusively yours. You are responsible for independently confirming the legal status of any output before relying on it commercially.

Check output for rights in source materials, trademarks, likenesses, and third-party content before distributing or commercializing it. Proxonyx does not promise an intellectual-property defense or indemnity for output. Any protection a provider offers to its own contracting customers does not automatically extend to Proxonyx users; no such protection is granted here unless Proxonyx expressly agrees in a signed contract.

An inaccurate, unexpected, or unsuccessful AI response does not by itself create an obligation for an individual consumer to indemnify Proxonyx. Section 17 describes the limited circumstances in which indemnification applies.

10. Subscription Billing, Cancellation, and Refunds

Proxonyx Pro and other paid plans are recurring subscriptions billed at the price displayed at checkout, plus any applicable taxes, on a recurring basis (e.g., monthly) until canceled. By purchasing a subscription, you authorize Proxonyx and its payment processor, Stripe, to charge your selected payment method automatically at the start of each billing period until you cancel.

You may cancel at any time by logging in, selecting Manage subscription, and completing cancellation through the Stripe customer portal. Cancellation takes effect at the end of your current paid billing period. You will retain access to paid features until that period ends and will not be charged for the next period.

All subscription charges are final and non-refundable. Proxonyx does not provide refunds or credits for partial billing periods, unused subscription time, unused usage, accidental purchases, or failure to cancel before renewal, except where a refund is required by applicable law. Canceling a subscription does not retroactively refund charges already paid.

We may change subscription pricing or usage-credit pricing by providing notice before the change applies to a future renewal. Payment processing is provided by Stripe and is also subject to Stripe's applicable terms and policies.

11. Third-Party Providers

The Service uses third-party model hosts, routing services, search and extraction services, image generators, infrastructure, and payment processors. Relevant input, context, attachments, and output may be transmitted to the providers needed for a workflow, as described in the Privacy Policy. Their availability, content rules, retention, and capabilities can differ or change. Requests may be refused, delayed, or unsuccessful; a named model, uninterrupted access, or a particular result is not guaranteed. Links and retrieved materials are not endorsements. To the extent permitted by law, we are not responsible for third-party services outside our control; this does not disclaim our own contractual or statutory responsibilities.

Enterprise processing arrangements. Any customer-specific data-processing addendum, confidentiality commitment, service level, provider restriction, or negotiated liability allocation must be expressly agreed in a separate written agreement. A paid plan alone does not establish zero retention, a prohibition on every provider's training use, a particular data location, or encryption of every stored copy. Applicable privacy and security obligations remain in force regardless of whether a separate agreement has been signed.

12. Intellectual Property

The Service, including its software, design, orchestration logic, and branding, is owned by Proxonyx and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you to use the Service, no other rights are granted. "Proxonyx" and associated logos are trademarks of their respective owner and may not be used without prior written permission.

13. Copyright Infringement Notices (DMCA)

If you believe content accessible through the Service infringes your copyright, send a notice to info@proxonyx.org including: identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a statement of good-faith belief that the use is unauthorized, a statement that the notice is accurate under penalty of perjury, and your physical or electronic signature. We will respond to valid notices in accordance with applicable law.

14. Termination

We may suspend or terminate your account at our discretion, including for violations of these Terms or the acceptable-use policies of our providers, without prior notice. You may stop using the Service, and delete your account at any time, as described in our Privacy Policy.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROXONYX CORP AND ITS LICENSORS AND SUPPLIERS DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. We do not guarantee accuracy, completeness, uniqueness, uninterrupted availability, error-free operation, preservation of data, or any business or personal result. You must assess output and keep independent copies of material you need. No informal statement expands these warranties. Mandatory warranties and consumer guarantees that cannot lawfully be excluded remain in force.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROXONYX CORP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM THE SERVICE OR OUTPUT. This applies regardless of the legal theory and even if the possibility was disclosed, including claims arising from reliance on output, third-party outages, or unauthorized access.

To the extent liability may lawfully be limited, the combined aggregate liability of those parties for all claims arising from or relating to the Service or these Terms will not exceed the greater of US $100 or the amounts you paid Proxonyx for the Service during the 12 months immediately before the event giving rise to the claim. Related events form one claim for this purpose. These allocations of risk are part of the basis for providing the Service and its pricing.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where it cannot lawfully be limited, death or personal injury caused by negligence where exclusion is prohibited, or any other liability or remedy that applicable law does not permit to be excluded or limited. Mandatory consumer, privacy, and data-protection rights prevail. If an exclusion is unenforceable, it applies only to the maximum lawful extent.

17. Indemnification

Business and organizational use. If you use the Service for a business or organization, to the extent permitted by law you will defend, indemnify, and hold harmless Proxonyx Corp, its affiliates, and their officers, directors, employees, and agents against third-party claims, proceedings, damages, judgments, settlements, and reasonable legal fees and defense expenses to the extent arising from: (a) User Content supplied by you or your authorized users, including alleged infringement, privacy violations, or lack of required consent; (b) your or their unlawful use of the Service or material breach of these Terms or applicable provider use restrictions; or (c) your distribution, modification, combination, or implementation of output in a way that infringes third-party rights or violates law.

Individual consumer use. If you use the Service primarily for personal, family, or household purposes, this indemnity applies only to third-party claims caused by your fraudulent or intentional unlawful conduct or knowing infringement of another person's rights, and only to the extent consumer law permits. It does not impose liability merely because an AI output was inaccurate.

Limits and defense procedure. No indemnity is owed to the extent a claim results from an indemnified party's fraud, willful misconduct, negligence, violation of law, or breach of these Terms. We will give reasonably prompt notice; delay reduces your obligation only to the extent it materially prejudices the defense. You may control the defense with qualified counsel reasonably acceptable to us, and we will reasonably cooperate at your expense. We may participate with our own counsel at our expense. You may not settle a claim in a way that admits our fault, imposes a nonmonetary obligation on us, or fails to fully release us without our prior written consent, not unreasonably withheld. If you fail to provide a required defense after notice and a reasonable opportunity, we may defend and seek reasonable covered costs. This section does not require payment of unsupported allegations or waive non-excludable rights.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-law principles, except where mandatory consumer-protection law in your jurisdiction requires otherwise. You agree that any dispute arising from these Terms or the Service that is not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Washington State. Any dispute will first be attempted to be resolved informally by contacting info@proxonyx.org.

Before bringing a claim, either party should send a description of the dispute and requested resolution and allow 30 days for good-faith discussion. This does not prevent urgent protective relief, a timely filing needed to preserve a claim, complaints to regulators, or use of courts and procedures guaranteed by mandatory consumer law. These Terms do not impose mandatory arbitration or a class-action waiver.

19. Export Control and Sanctions Compliance

You may not use the Service if you are located in, or are a national of, a country subject to comprehensive trade sanctions, or if you are listed on any applicable restricted-party list. You agree to comply with all applicable export control and sanctions laws.

20. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as widespread infrastructure failures, natural disasters, or government restrictions, to the extent that event actually prevents performance. This does not excuse accrued payment obligations, reasonable mitigation efforts, mandatory refunds, or other non-excludable duties.

21. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

22. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proxonyx regarding the Service.

Failure to enforce a provision is not a waiver. Provisions concerning accrued payments, intellectual property, disclaimers, liability, indemnification for covered conduct, and dispute resolution survive termination as needed to give them effect. No third-party beneficiary rights are created except for the parties expressly protected by Sections 16 and 17.

23. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including by email and in-app notices, and agree that such communications satisfy any legal requirement that they be in writing.

24. Changes to These Terms

We may update these Terms. We will identify the revised date and provide reasonable advance notice of material changes through email or a prominent in-app notice, including the effective date and any required acceptance process. Changes will apply prospectively, not retroactively to an existing dispute. If separate affirmative agreement is legally required, continued use is not a substitute. Urgent changes required by law or security needs may take effect sooner with notice as practicable. If you do not agree, stop using the Service and cancel renewal; mandatory cancellation and refund rights remain unaffected.
